SSCP Lager BidCo AB (publ) announces the expiration time for the tender offer

On 9 November 2023, SSCP Lager BidCo AB (publ) (“SSCP Lager BidCo” or the “Company”) announced, in connection with the contemplated issuance of new senior secured floating rate notes (the “New Notes”), an invitation to the holders of the Company’s outstanding 2019/2024 senior secured floating rate notes with ISIN SE0013358686 (the "Outstanding Notes”) to participate in a tender offer as further described in the tender information document dated 9 November 2023 (the “Tender Information Document”) subject to the terms and conditions set forth in the Tender Information Document (the “Tender Offer”).

In accordance with the Tender Information Document, the Company hereby announces that the Tender Offer will expire on 21 November 2023, upon book close of the book building process for the New Notes, unless the Tender Offer is extended, re-opened, withdrawn or terminated at the sole discretion of the Company. The settlement of the Tender Offer is expected to occur on 5 December 2023. The Tender Offer remains conditional upon the consummation of the issuance of the New Notes as further set forth in the Tender Information Document.

The Company has mandated Nordea Bank Abp and Pareto Securities AS to act as dealer managers in connection with the Tender Offer. Hannes Snellman Attorneys Ltd acts as legal advisor to the Company and Gernandt & Danielsson Advokatbyrå KB acts as legal advisor to the dealer managers.
